Wow! Unlimited Media acquired by Genius Brands International

The $66-million deal allows Genius to tap Canadian federal and provincial tax credits, while offering opportunities for Canadian creators as the company transfers production operations to Canada.

Canadian prodco Wow! Unlimited Media has entered into an agreement which will see L.A.-based Genius Brands International acquire all issued and outstanding shares for about $66 million in cash and stock.

“This is a powerful partnership that brings immediate and significant value for shareholders,” said Michael Hirsh (pictured above left), chair and CEO, Wow! in a statement. “We bring production capacity, new IP, and a robust and profitable YouTube Network with over a billion views per month.”

Hirsh will also join Genius Brands board of directors while continuing his responsibilities for Mainframe, Frederator Studios, networks and platforms. The deal is “expected to provide direct benefits and opportunities for Canadian animators and other production personnel,” according to Wow!.

The deal follows an “extensive strategic review process” that will see Genius Brands distribute Wow! content and monetize its characters and brands. Wow!’s Canadian operations will continue to run as a distinct business, but there was no information at press time about how the U.S. operations would be affected.

In a statement, Genius Brands CEO Andy Heyward (above right) explained that the strategy behind the acquisition is access to Canadian tax credits, as well as a plan to bring all animation production that’s currently being handled by Chinese service companies in-house.

Genius plans to kick off the partnership by adding Wow!-owned content to its Kartoon Channel! OTT network, as well as exploring new consumer products and global distribution opportunities for those IPs. It also intends to make full use of Wow!’s full-service animation studio, expand into animation for teens and young adults, and tap into Wow!’s broad YouTube presence to grow its own AVOD business.

Founded in 2016 when Rainmaker, Frederator and Ezrin Hirsh Entertainment merged, Wow! has offices in Toronto, Vancouver, New York and LA, and has produced content for Netflix, Amazon Prime, Sony, Hulu, DreamWorks, Moonbug, Peacock and Mattel. The company also runs Frederator Studios (Adventure Time), Mainframe Studios (Madagascar – A Little Wild) and YouTube network Channel Frederator, which operates more than 2,500 channels that have collectively amassed upwards of a billion video views.

According to a press release, Wow! generated $69 million in revenue from June 2020 to July 2021, and it has more than $76 million in contracted production work slated for the next year. Chief creative officer Fred Seibert announced his departure from the company in August 2020, handing over his duties to CEO Hirsh.

Genius Brands acquired ChizComm, another Canadian company, in November 2020. The marketing and media agency (which runs a media research, planning and buying division) operates as an independent business under the Genius umbrella.
