Director of Business Affairs

A Canadian Independent Production and Distribution company in Toronto is looking for a Director of Business Affairs. The ideal candidate will be a strategic and persuasive hands-on business affairs specialist with a proven track record of guiding negotiations through to closure. The role will sit across both production and distribution, requiring the successful candidate to have experience in both areas and the ability to switch between the two seamlessly. There will be multiple projects to manage with varying internal stakeholders. Strategy and clear communication are the key drivers of success and therefore the Director of Business Affairs will be able to see the bigger picture and understand the differing needs of a matrixed organization while being able to communicate effectively.

Key Production Responsibilities:

• Rigorously analyze deal structures and advise on strategy, costs, talent relations, etc. relating to development, production, and licensing of content
• Draft and negotiate all above-the-line television production agreements, including options, writer contracts, releases, guild documents, vet and assist with production deal memos
• Oversee the creation and maintenance of, a tracking system for options and other expiry dates; precedents; name, likeness and biography obligations; credit, publicity and promotion obligations; all other contractual obligations
• Negotiate and close agreements with funding agencies, broadcasters and agents
• Be the centre of knowledge for all funding guidelines from Canada Media Fund (CMF), all private Canadian funding agencies, and federal and provincial tax credits
• Stay abreast of any new funds or opportunities, which may include consulting on new guidelines for funding agency programs when required.
• Ensure compliance with Canadian Content rules and regulations, including CAVCO points systems, brand integration guidelines, etc.
• Negotiate with US networks, agencies and underlying rights holders
• Create financing plans for projects in development and production, including recoupment schedules
• Oversee the preparation of applications for development and production funding
• Research alternative financing sources, funding, and revenue models
• Drive interim financing documentation and bank closings process
• Work with the senior management team to develop long term strategic growth opportunities for the overall businesses
• Handle all script and title clearances and advise all essential parties on rights clearances and title reports, including advising on any areas of risk and exposure.
• Manage the annual insurance renewals (Corporate and E&O) as well as the production insurance requirements
• Revise and develop precedents, training, advice notes and other documentation.
• Work with external legal counsel

Key Distribution Responsibilities

• Draft and negotiate contracts and agreements relating to the licensing of filmed content for television and digital/new media customers worldwide across all media (including free, basic and pay television, SVOD, PPV/VOD, EST)
• Draft and negotiate contracts and agreements relating to the acquisition of third party content for distribution
• Advise and coordinate with sales & acquisitions executives to identify and resolve any business and rights issues (including issues relating to contract interpretation) and provide ongoing support and advice
• Provide oversight of general legal and business practices and standards and oversight of certain litigation matters
• Provide oversight of regulatory and other legal compliance matters relating to content distribution

The ideal candidate will have the following:

• Minimum 5 years’ experience in the production & distribution industry,
• Proven experience drafting and closing complicated contracts
• Demonstrated negotiation skills
• Excellent knowledge of rights definitions and current on all new precedents, terminology and trends
• Familiarity with interim financing and production insurance requirements
• Excellent oral and written communication skills, with the ability to communicate effectively, and to establish relationships, at all levels
• Thorough understanding of Canadian funding agency guidelines
• Good knowledge of international coproduction terminology and treaties
• Extensive familiarity with production budgets and the ability to provide business counsel on all production matters
• High level of knowledge related to unions and guilds, production tax incentives, and international co-productions
• Experience in scripted and non-scripted content
• International experience is desirable as its experience with formats
• Ability to recognize and respond quickly and pragmatically to urgent situations.
• Excellent attention to detail.
• Demonstrated initiative; be a self-starter and accountable.
